To shareholders, the proxy statement is one of two ways for them to have influence in their companys future in which they are investing. For every shareholder, they obtain one vote per share that they own. Even though it seems that one share will not act as a huge impact, if many shareholders come together, their voice can be heard. Basically, it is the shareholders way to have a say in the company's future. If you are looking for a good proxy, i advise going to google and typing Dell's 2005 proxy. They give a great one that i did a research project on. Im not sure about the technical aspects of the computer part, but i could help with the actual statement.
